RISSB AGM appoints new Board Chair
The RISSB 2024 Annual General Meeting was online on Thursday 28 November 2024.
It was encouraging to see members participate in the AGM process and contribute to decisions that ensure RISSB continues to deliver for the industry. We thank members who submitted their proxy voting forms and who attended the virtual AGM.
The meeting was attended by Board of Directors and members. All motions tabled to members were carried. The major items included:
- Receipt of Financial Statements and Reports for FY2023-24.
- Endorsement of Dr Gillian Miles as the Independent Chair of the RISSB Board.
- Endorsement of Dr Tim Kuypers as an Independent Director for a third and final term.
- Appointment of the Auditor for Financial Year 2024-25.
- Approval of amendments to the Constitution of the Company
- Resolution 1: Amendments to facilitate the appointment of two Government Appointed Directors.
- Resolution 2: Amendments to provide the Board flexibility to determine the role, functions and eligibility requirements of the Secretary, the Industry Directors, Independent Directors, the Independent Chairperson and the Chief Executive Officer.
- Resolution 3: Amendments to facilitate administrative flexibility for the conduct of elections and the holding of meetings of the Board and the Members.
CEO, Damien White provided a short operational performance report covering the many products and activities RISSB delivered for members and governments in 2024. Damien showcased the many benefits to industry and how RISSB is working on industry’s most pressing challenges and priorities.
The Board of Directors thanked Deb Spring for her leadership and commitment to RISSB over a nine-year period when she served as Director, acting CEO and Chair.
The RISSB Board of Directors welcomed and congratulated Dr Miles on her appointment and expressed enthusiasm about working with her on RISSB’s leadership role in a challenging period of rail reform.
“Productivity, liveability, decarbonisation and digital technology, will all be key in the investment decisions being made in the rail industry,” said Dr Miles.
“Industry leaders and governments are increasingly looking for greater harmonisation – the National Transport Commission has been leading the rail reform agenda by bringing government and industry together.
“RISSB has a role to play in this, working with industry and collaborating with government to realise the benefits of this reform agenda.
“The future will be demanding but it is bright and exciting,” she said.
